Welcome to AlchemyAI, a cloud-based AI training platform that allows users to train and deploy Image Recognition models. These Terms govern your access to and use of our Services. The Terms applicable to you also include Our Policies, such as our Privacy Policy. By accessing the Website, Users accept to be bound by these Terms of Service and by the Privacy Policy available at the following URL: https://alchemyai.net/privacy-policy
PLEASE REVIEW THESE TERMS CAREFULLY. BY ACCEPTING THESE TERMS OR USING THE ALCHEMYAI SERVICES, YOU AGREE TO THESE TERMS OF SERVICE WITH THE ALCHEMYAI ENTITY INDICATED BELOW (“ALCHEMYAI”). IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU SHOULD NOT CLICK THE “I AGREE” CHECKBOX OR USE ANY OF THE ALCHEMYAI SERVICES.
These AlchemyAI Terms of Service (this “Agreement” or these “Terms”), are a binding contract between you and Alchemy Studios, Inc. (“AlchemyAI,” “we” and “us”) that sets forth your rights and responsibilities as a user of our Services. “You” means the entity you represent in accepting these Terms or, if that does not apply, you individually. If you are agreeing to these terms on behalf of a party that you represent (e.g., your employer, your business or another entity), you represent and warrant that: (i) you have full legal authority to bind such other party to these Terms; (ii) you have read and understand these Terms; and (iii) you agree to these Terms on behalf of the party that you represent. To be eligible to register for an AlchemyAI account and use AlchemyAI’s Services, you must review and accept the terms of this Agreement by clicking on the “Signup” button or other mechanism provided.
These Terms are effective as of the date you first click “I agree” (or similar button or checkbox) or use or access our Services, whichever is earlier (the “Effective Date”). These Terms do not have to be signed in order to be binding. You indicate your assent to these terms by clicking “I agree” (or similar button or checkbox) at the time you register for a Service, create an account, or use the Website (https://alchemyai.net) in any way. You may also indicate your assent to these Terms by accessing or using our Services or continuing to use our Services after these Terms have been amended.

ALCHEMYAI DOES NOT PROVIDE WARRANTIES OR INDEMNITIES FOR THE ALCHEMYAI SERVICES, AND THESE TERMS LIMIT ALCHEMYAI’S LIABILITY TO YOU.

CHANGES
Term Revisions. AlchemyAI reserves the right to update, change or otherwise modify these Terms at any time and in AlchemyAI’s sole discretion. If AlchemyAI does revise these Terms, the revised Terms will supersede prior versions. Unless AlchemyAI says otherwise, revisions will be effective upon the effective date indicated at the top of these Terms. AlchemyAI encourages you to check the effective date of these Terms whenever you visit AlchemyAI’s website or the Platform. Your continued access or use of the AlchemyAI Services constitutes your acceptance of any revisions. If you do not agree to the updated Terms, then you may not continue to use the Services and your sole and exclusive remedy is to deactivate your Account and otherwise discontinue use of the Website and/or Services.
Service Updates. You acknowledge that AlchemyAI may change, deprecate or redesign functionality for any AlchemyAI Services, such as the API and the Platform interface, from time to time. Although AlchemyAI endeavors to avoid changes to the API, it is your responsibility to ensure that calls or requests you make to the AlchemyAI Services are compatible with then-current AlchemyAI APIs for the AlchemyAI Services.
ACCEPTABLE USE POLICY
You may not use, or encourage, promote, facilitate or instruct others to use the Services for any illegal, harmful, fraudulent, infringing or offensive use, or to transmit, store, display, distribute or otherwise make available content that is illegal, harmful, fraudulent, infringing or offensive.
Prohibited activities or content include:
- Illegal, Harmful or Fraudulent Activities. Any activities that are illegal, that violate the rights of others, or that may be harmful to others, our operations or reputation, including disseminating, promoting or facilitating child pornography, offering or disseminating fraudulent goods, services, schemes, or promotions, make-money-fast schemes, ponzi and pyramid schemes, phishing, or pharming.
- Infringing Content. Content that infringes or misappropriates the intellectual property or proprietary rights of others.
- Offensive Content. Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable, including content that constitutes child pornography, relates to bestiality, or depicts non-consensual sex acts.
- Harmful Content. Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancelbots.
The rights granted to a User to access and use the AlchemyAI Services are subject to User’s compliance with the following. Customer will not and will not allow or encourage others to:
- to reverse engineer, decompile, disassemble, modify, create derivative works of or otherwise create, attempt to create or derive, or permit or assist any third party to create or derive, the source code underlying the AlchemyAI Services
- to transfer, distribute, resell, lease, license, or assign AlchemyAI Services or otherwise offer the AlchemyAI Services on a standalone basis;
- attempt to bypass or break any security mechanism or authentication measure in any of the AlchemyAI Services or use the AlchemyAI Services;
- use temporary email addresses or share user accounts among multiple individuals, and you will permit AlchemyAI to terminate the accounts of any users that violate this Agreement;
- impersonate another person or entity or misrepresent an affiliation with a person or entity;
- to store or process content or information that Customer does not have a right to make available under law or any contractual or fiduciary duty;
- to process personal data other than personal data that Customer has the right to process, and in any case not use the AlchemyAI Services to process any special categories of personal data or sensitive data (as these are defined in applicable laws including personal information of minors), or any regulated data (including sensitive personal information, such as financial information, payment card numbers, social security numbers, and health information);
- to interfere with or disrupt the access of any user, host, network or the AlchemyAI Services, such as by sending a virus, overloading, flooding, spamming, or by scripting the creation of content in such a manner as to interfere with or create an undue burden on the AlchemyAI Service or by transmitting any material that contains trojan horses, worms or any other malicious, harmful or deleterious programs or code;
- for the purposes of competitive evaluation, research or benchmarking;
- for illegal purposes or purposes otherwise outside the scope expressly permitted, or in a manner that violates intellectual property rights, trade secrets, export controls, economic sanctions or other trade restrictions;
- to publish, transmit or otherwise make available material that is defamatory, libelous, unlawfully pornographic or indecent;
- to advocate hatred, hostility or violence against an entire class of people on the basis of race, ethnicity, sexual orientation, gender, gender identity, religious affiliation, age or disability;
- or in any manner that violates any applicable third-party policies or requirements (such as Amazon Web Services use policies), if any.
If we conclude, in our discretion, that you have misused the AlchemyAI Services, we may take action against your account. AlchemyAI reserves the right to enforce, or not enforce, this acceptable use policy in its sole discretion.
INTELLECTUAL PROPERTY RIGHTS
As between the parties, AlchemyAI exclusively owns all right, title and interest in and to the AlchemyAI Services. Except for the express rights granted hereunder, AlchemyAI reserves all rights, title and interests in and to the AlchemyAI Services.
AlchemyAI’s Intellectual Property Rights. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements by AlchemyAI are protected by all relevant intellectual property and proprietary rights and applicable laws and is the exclusive property of Alchemy Studios, Inc. Users agree not to copy or reproduce any part of the Website and/or Platform. Users are granted a non-exclusive right to use the Services provided by AlchemyAI. Users agree not to create derivative work based on the Website or their Services, nor to lease any part of the Website or to sublicense their Services to any third parties. In addition, Users agree not to register any copyright, trademark or other intellectual property rights belonging to AlchemyAI.
User Content. We obtain no rights under these Terms from you to your User Content. You consent to our use of your User Content to provide the Services to you. You also agree and instruct that we may use and store your User Content to maintain and provide the applicable Services and to develop and improve our Services.
User Content Obligations. You represent and warrant to us that: (a) you have obtained all necessary rights, releases, consents and permissions to submit all your User Content in connection with the Services and to grant the rights granted to us in these Terms; (b) you have provided legally adequate privacy notices to end users of your products or services that use our Services, including providing required notices and obtaining any required verifiable parental consent under the Children’s Online Privacy Protection Act (COPPA) or similar Laws; and (c) Your Content and its submission and use as you authorize in these Terms will not violate (i) any Laws, (ii) any third-party intellectual property, privacy, publicity or other rights, or (iii) any of your or any third party’s policies or terms governing the User Content. We assume no responsibility or liability for your User Content, and you are solely responsible for the User Content and the consequences of submitting and using it with the Services.
Feedback. If you provide any Feedback to us concerning the functionality or performance of the Services (including identifying potential errors and improvements), you hereby assign to AlchemyAI all right, title and interest in and to the Feedback, and AlchemyAI is free to use such Feedback without payment or restriction.
Trademarks. You grant us permission to include your name, logos, and trademarks in our promotional and marketing materials and communications.
ACCOUNT REGISTRATION
Account Registration. To use the AlchemyAI Platform, you will be asked to create an account. As part of the account creation process, you will be asked to provide your email address and create a password. When registering an account, you must provide true, accurate, current and complete information about yourself as requested during the account creation process. You must also keep that information true, accurate, current and complete after you create your account. Account information, and our use and disclosure thereof, is subject to our Privacy Policy. With your permission (which may be by email or other reasonable means), AlchemyAI may log into the User Account in order to debug the Platform.
Age Requirement for Users. The Services are not targeted towards, nor intended for use by, anyone under the age of 18 (eighteen). By using the Services, you represent and warrant to us that you are 18 years of age or older. all users under this age must obtain parental consent to use the Services and make payments for using the Platform.
Eligibility Requirements. Before you use our Services, you must ensure that such use is in compliance with all applicable laws and regulations applicable to you. Your right to access the Services is revoked to the extent your use thereof is prohibited or to the extent our provision thereof conflicts with any applicable Law, rule or regulation. If your account has previously been removed from using the Services, you are not eligible to create a new Account to access the Services. You are responsible for making these determinations before using the Services.
User Responsibilities. You will (i) be responsible for all use of the Platform under your account, whether or not authorized, and regardless of whether the activities are undertaken by you, your employees, or any third party (ii) be solely responsible for the accuracy, quality, integrity and legality of the User Content, (iii) use commercially reasonable efforts to prevent unauthorized access to or use of the Platform and notify AlchemyAI promptly of any such unauthorized access or use. (iv) be responsible for notifying your employees, agents, and others related to your use of the Services of the provisions of these Terms, including where these Terms are binding on them. (v) not be authorized to pass User login data to third parties and are obliged to handle User login data carefully and prevent misuse of the login data by third parties.
Account Removal. We may, in our sole discretion, refuse to provide or continue providing the Services to any person or entity and change eligibility criteria at any time, including if you fail to comply with these Terms. We reserve the right to deactivate, terminate, prevent access to, disable services for, and/or delete any Accounts or access to the Services at any time at our sole discretion.
CREDITS AND PAYMENTS
When you first register for use of the Platform you will receive 1000 in free credits, equivalent to $10 (USD). No credit card is needed to register for the Service. Once the initial quota is depleted, you will need to refill your quota with credits to continue using the Platform with an amount of your choosing. Minimum refill amount is $10 USD (1000 credits).
Payment and Payment Processors. We use third-party payment processors (“Payment Processors”) to bill you through the payment accounts linked to your Account (in “Billing”). The processing of payments may be subject to the terms, conditions and policies of the Payment Processors in addition to these Terms. We are not responsible for acts or omissions of the Payment Processors. You agree to pay us, through the Payment Processors or as otherwise agreed by AlchemyAI, all sums for Services you select or use at the applicable prices in accordance with our pricing and billing policies available on our pricing page and you hereby authorize us and applicable Payment Processors to charge all such sums (including all applicable taxes) to the payment method(s) specified in or linked to your Account.
Credits. AlchemyAI makes use of a quota-based form of payment. There are no other fees, such as subscription fees or monthly fees. However, you will need credits in order to train your Model(s) inside the Platform as well as using the AlchemyAI API. 100 credit equals $1 (USD).
- Initial free credits. We deposit 1000 credits, equivalent to $10 USD, free of charge onto your account when registering. These credits cannot be converted into funds. Once the initial free credits are depleted, you will be asked to refill your credit balance with funds in order to continue the Service.
- Credit reduction. Your credits will reduce as you perform AI computation (model training) and send prediction requests to our server via the API.
- Refunds.You have the right to be reimbursed if one of the following criterias are met:
(a) AlchemyAI could not, due to a technical error, perform its assigned computation tasks. (b) AlchemyAI is discontinuing the Service.
AlchemyAI will not at any point in time refund credits that you do not decide to use unless the above criterias are met. - Autofill. To avoid disruption due to lack of credits, please consider the Auto-refill option. Once activated, AlchemyAI will automatically refill your credit quota with an amount of your choosing. You can decide the refill threshold and refill amount in the Settings-panel of the Platform. Unused credits Credits will not expire at any time. Unused credits cannot be converted back into funds.
INDEMNIFICATION
You will defend, indemnify and hold AlchemyAI harmless against any actual or threatened claim, loss, liability, proceeding, governmental investigation or enforcement action arising out of or relating to your activities under these Terms. AlchemyAI will cooperate as fully as reasonably required in the defense of any Claim, at your expense. AlchemyAI reserves the right, at your expense, to retain separate counsel for themselves in connection with any Claim or, if you have not responded reasonably to the applicable Claim, to assume the exclusive defense and control of any Claim in which you are a named party and that is otherwise subject to indemnification under this Section. You will pay all costs, reasonable attorneys’ fees and any settlement amounts or damages awarded against AlchemyAI in connection with any Claim. You will also be liable to AlchemyAI for any costs and attorneys’ fees AlchemyAI incurs to successfully establish or enforce AlchemyAI’s right to indemnification under this Section.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, WILL ALCHEMYAI BE LIABLE TO YOU FOR ANY (I) INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY CHARACTER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOST SALES OR BUSINESS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOST CONTENT OR DATA, OR FOR ANY AND ALL OTHER DAMAGES OR LOSSES, EVEN IF ALCHEMYAI HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES OR (II) DIRECT DAMAGES, COSTS OR LIABILITIES IN EXCESS OF THE AMOUNTS PAID BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE INCIDENT OR CLAIM. THE FOREGOING PROVISIONS ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THE LIMITATIONS SET FORTH HEREIN IN DETERMINING WHETHER TO ENTER INTO THIS AGREEMENT.
TERMINATION AND SUSPENSION
- The term of this Agreement will commence on the date these Terms are accepted by you and continue until your account is terminated as set forth below.
- You may terminate these Terms for any reason at any time by deleting your Account through the account settings made available in the Platform.
- AlchemyAI may terminate or suspend your Account (and any accounts we determine are related to your Account) and your access to the Services should we have any reason to believe you, your Content or your use of the Services violates our Terms.
- AlchemyAI reserves the right, in our sole discretion, to change, suspend, discontinue or terminate access to any or all of the Services provided to you or these Terms at any time, for any reason, with or without notice. We will not be liable to you for the effect that any changes to the Services or these Terms may have on you.
- Upon termination of this Agreement all rights and obligations will immediately terminate except that any terms or conditions that by their nature should survive such termination will survive, including the terms and conditions relating to proprietary rights and confidentiality, disclaimers, indemnification, limitations of liability and termination.
- AlchemyAI may, but has no obligation to, monitor or review User Content. AlchemyAI reserves the right to remove or disable access to any User Content for any or no reason. AlchemyAI may take these actions without prior notification to you.
EXPORT CONTROL AND SANCTIONS
AlchemyAI's products may be subject to U.S. export and re-export control laws and regulations or similar laws applicable in other jurisdictions, including the Export Administration Regulations ("EAR") maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control ("OFAC"), and the International Traffic in Arms Regulations ("ITAR") maintained by the Department of State. You warrant that you are (1) not located in any country to which the United States has embargoed goods or has otherwise applied any economic sanctions; and (2) not a denied party as specified in any applicable export or re-export laws or regulations or similar laws applicable in other jurisdictions or otherwise listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and reexport control laws and regulations, including without limitation the EAR and trade and economic sanctions maintained by OFAC. Specifically, you agree not to – directly or indirectly – use, sell, export, reexport, transfer, divert, release, or otherwise dispose of any products, software, or technology (including products derived from or based on such technology) received from AlchemyAI under these Terms to any destination, entity, or person or for any end-use prohibited by the EAR, trade and economic sanctions maintained by OFAC, or any applicable laws or regulations of the United States or any other jurisdiction without obtaining any required prior authorization from the competent government authorities as required by those laws and regulations.
GENERAL
Force Majeure. AlchemyAI will not be liable for any delay or nonperformance under these Terms if the delay or failure is due to events which are beyond AlchemyAI’s reasonable control such as a strike, blockade, war, act of terrorism, natural disaster, quarantine, epidemic, pandemic, failure or diminishment of power or telecommunications or data networks or services or other unforeseen change in circumstances.
Consent to Electronic Communications. By using the Services, you consent to receiving certain electronic communications from AlchemyAI. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.
Amazon Web Services. The Services are based on Amazon Web Services infrastructure, and subject to Amazon’s then-current Privacy Policy currently at http://aws.amazon.com/privacy. You will adhere to all laws, rules, and regulations applicable to Your use of the Service, and your User Content and activities must comply with and you accept the then-current Amazon Acceptable Use Policy currently at http://aws.amazon.com/aup and other then-current policies at http://aws.amazon.com
Third-Party Services. The Services may include links to third-party websites, services or other resources on the Internet, and third-party websites, services or other resources may include links to our Services as well. When you access third-party resources on the Internet, you do so at your own risk. These third-party resources are not under our control, and we are not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such resources. We disclaim all liability and responsibility for any third-party products or services (whether support, availability, security or otherwise) or for the acts or omissions of any third-party providers or vendors, and we will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party resource.
Price and tax changes. AlchemyAI may from time to time change the price for the use of the Service, and will communicate any price changes to you in advance on reasonable notice. Price changes will take effect at the start of your next charge following the date of the price change. Subject to applicable law, by continuing to use the Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by deleting your Account.
Tax rates are based on the rates applicable at the time of your credit charge. These amounts can change over time with local tax requirements in your country, state, territory or even city. Any change in Tax rate will be automatically applied based on the account information you provide.
Relationship. Nothing contained herein will in any way constitute any association, partnership, agency, employment or joint venture between the parties hereto, or be construed to evidence the intention of the parties to establish any such relationship. Neither party will have the authority to obligate or bind the other in any manner, and nothing herein contained will give rise or is intended to give rise to any rights of any kind to any third parties.
Waiver. No waiver of any rights hereunder will be effective unless assented to in writing by both parties. Any such waiver will be only to the specific provision and under the specific circumstances for which it was given, and will not apply with respect to any repeated or continued violation of the same provision or any other provision. Failure or delay by either party to enforce any provision of this Agreement will not be deemed a waiver of future enforcement of that or any other provision.
Disclaimer. THE SERVICES, INCLUDING WITHOUT LIMITATION ANY CONTENT DELIVERED AS A PART THEREOF, ARE PROVIDED ON AN “AS IS” AND ON AN “AS AVAILABLE” BASIS. ALCHEMYAI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE WEBSITE AND SERVICES AND ALL CONTENT DELIVERED IN CONNECTION THERETO, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE OR TRADE; OR (C) ANY WARRANTY OR GUARANTY RELATING TO AVAILABILITY, ACCURACY, ERROR RATE, SYSTEM INTEGRITY OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT: (I) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (III) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.
RESPONSIBILITY
You may access and use the Services, as applicable, only in accordance with these Terms, Our Policies, any applicable documentation, any agreed Additional Terms and applicable Laws. You will: (a) be solely responsible for all use of the Services and documentation under your account, including the quality and integrity of your User Content and any other information made available to us by or for you through the use of the Services under these Terms. Our Services are not intended for us in, or association with, the operation of any hazardous environments or critical systems that may lead to serious bodily injury or death or cause environmental or property damage, and you are solely responsible for liability that may arise in connection with such use.
The Services provided by the Website work “as is” and “as available” without expressed or implied warranty or condition of any kind. Users use the Service at their own risk. AlchemyAI warrants that the Services are free of malware or other harmful components. AlchemyAI will not be held responsible for any sensitive image files you might upload, either willingly or unwillingly. AlchemyAI will not be held responsible for any loss that was not caused by a breach on its part; for instance, AlchemyAI will not be responsible in case of an interruption of the Website or in case of a malfunction that causes the loss of your User Content. AlchemyAI makes no claims or promises about the quality, accuracy, or reliability of the Service and expressly disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AlchemyAI does not assume any responsibility for any third-party application, service or product advertised or offered on the Website. Such linked websites are not under our control, and we are not responsible for their content.
To the maximum extent permitted by applicable law, AlchemyAI assumes no liability or responsibility for any:
- errors, mistakes, or inaccuracies of content;
- damages of any nature whatsoever, resulting from your access to or use of the Website;
- any unauthorized access to or use of our secure servers and/or any personal information stored therein;
- any interruption or cessation of transmission to or from the service;
- any bugs, viruses, trojan horses, or the like that may be transferred to or through our service by any third party;
